Terms of Service

These Terms of Service (the “Terms”) form a binding agreement between you (“you”, “User”) and the operator of FileTransferFree (“we”, “us”, “Service”). By accessing or using www.filetransferfree.com, the file-transfer application, or any related tool we provide (collectively, the “Service”), you agree to be bound by these Terms and by our Privacy Policy and Acceptable Use Policy. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 13 years of age to use the Service (16 in the EEA/UK or where local law requires a higher age of consent). If you are under the age of majority in your jurisdiction, you may use the Service only with the involvement and consent of a parent or legal guardian.

2. The Service

FileTransferFree is a free, browser-based, peer-to-peer file-transfer tool. We provide the website, the application code, and a small signaling server that helps two browsers find each other. The actual file bytes you send are transmitted directly browser-to-browser using WebRTC; we do not store, scan, copy, host, or relay the contents of your files.

3. Your account & access

The Service does not require an account. You are responsible for the device, network, and browser you use, and for keeping any room code or PIN you generate confidential. Anyone who knows the active room code may attempt to connect.

4. Acceptable use

You agree not to use the Service in any way that violates applicable law or our Acceptable Use Policy. Without limitation, you must not use the Service to:

We reserve the right to block IP addresses, refuse service, or take any action we consider reasonably necessary to enforce these Terms or comply with the law.

5. Intellectual property

The Service’s name, logo, design, source code, and content are owned by us or our licensors and are protected by intellectual-property laws. You retain all ownership of files and content you transmit through the Service. By using the Service you grant us a limited, operational right to process your data only as needed to provide the Service (e.g., handshake messages on the signaling server).

6. DMCA & copyright complaints

We do not store or host user files; copyright complaints relating to content transferred between users are typically not actionable against us because we have no copy of the material. Where the Digital Millennium Copyright Act (DMCA) otherwise applies, send notices to:

Your notice must include all of the elements required by 17 U.S.C. § 512(c)(3): (a) a physical or electronic signature; (b) identification of the copyrighted work claimed to have been infringed; (c) identification of the allegedly infringing material with sufficient detail to permit us to locate it; (d) your contact information; (e) a statement that you have a good-faith belief that the use is not authorised; and (f) a statement, made under penalty of perjury, that the information is accurate and that you are authorised to act on behalf of the rights holder.

7. No warranty

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, NOR THAT TRANSFERS WILL ALWAYS SUCCEED. NETWORK CONDITIONS, FIREWALLS, AND CARRIER-GRADE NAT MAY PREVENT WEBRTC TRANSFERS BETWEEN CERTAIN DEVICES.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IN SUCH JURISDICTIONS OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

9. Indemnification

You agree to indemnify, defend, and hold harmless FileTransferFree, its operators, contributors, and service providers from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your use of the Service; (b) any content you transmit through the Service; (c) your violation of these Terms or any applicable law; or (d) your violation of any rights of a third party.

10. Suspension & termination

We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have breached these Terms or applicable law, or to protect the Service and other users. You may stop using the Service at any time.

11. Changes to the Service or these Terms

We may modify or discontinue the Service, in whole or in part, at any time. We may also revise these Terms; material changes will be reflected by updating the “Last updated” date above and, where appropriate, by a notice on the website. Your continued use of the Service after changes become effective constitutes acceptance.

12. Governing law

These Terms are governed by the laws of the State of California, USA, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Nothing in these Terms removes any mandatory consumer-protection rights you may have under the laws of your country of residence.

13. Dispute resolution

We hope to resolve any dispute amicably. Before initiating any formal proceeding, you agree to first contact us at [email protected] and to attempt in good faith to resolve the dispute informally for at least sixty (60) days.

Binding individual arbitration (US users). If you are resident in the United States, any dispute that cannot be resolved informally will be resolved by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules & Procedures, in San Francisco County, California, or, at your election, via telephone or video conference. The arbitrator’s decision will be final and binding. You and we waive the right to a jury trial and to participate in any class, collective, or representative action. You may opt out of this arbitration provision within thirty (30) days of first accepting these Terms by sending a written opt-out notice to [email protected] with the subject “Arbitration Opt-Out”.

Notwithstanding the above, either party may bring an individual claim in small-claims court for disputes within that court’s jurisdiction, and either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual-property rights.

For users outside the United States, any dispute will be subject to the exclusive jurisdiction of the state and federal courts located in San Francisco County, California, except where mandatory law provides otherwise.

14. Severability & entire agreement

If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect. These Terms, together with the Privacy Policy and the Acceptable Use Policy, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements.
